| Cándido Paz-Ares is a partner in the Madrid
office of Uría & Menéndez. He joined the firm in 1996 as of
counsel and became a partner in 2001. He has extensive
experience in corporate, finance and capital markets law and has
been involved in the preparation of draft legislation in Spain.
He is also considered by his peers both at home and abroad as an
authoritative figure in the field of Corporate Governance. His
credentials speak for themselves. He was a member of the
“Olivencia Committee”, charged by the Spanish Government with
the task of drafting the Code of Corporate Governance. He is
also a permanent member of the General Commission of
Codification (“Comisión General de Codificación”), the
consultative body of the Spanish Ministry of Justice and, since
September 2002, a member of the Aldama Commission (“La Comisión
Aldama”), created to foster transparency and security in the
markets and listed companies.
He is regarded as a leading lawyer by the main international
legal directories, such as, Chambers & Partners, PLC and
International Who's Who of Lawyers, among others.

Participation in the preparation of draft
legislation
- Hired by the Ministry of Justice to draw up the Draft Law on Unfair
Competition (subsequently enacted as Law 3/1991, of January 10, on Unfair
Competition).
- Hired by the Ministry of Parliament Relations to form a Working Group
on Legislative Technique and to draft guidelines on the matter, 1986.
- Hired by the Ministry of Economy and Treasury to design the laws
regulating securities as book entries (the proposal was ultimately
incorporated into Law 24 /1988, of July 28, of the Stock Exchange).
- Preparation of the Draft Law on Professional Corporations (with Aurora
Campins), approved by the General Codification Commissión, 1999.
- Member of the Commission in charge of drafting the New Version of the
Corporations Act (which was ultimately enacted by Royal Legislative Decree
1564/1989, of December 22, which approves the new text of the Corporations
Act), 1989.
- Chairman of the Editing Commission of the Regulation of the Commercial
Register, 1989.
- Member of the Special Commission for the Study of an Ethical Code for
Boards of Administration (Agreement of the Council of Ministers of
February 28, 1997 and Ministerial Order of the second Government Vice-presidency
and the Ministry of Economy and Treasury of March 24, 1997).
- Member of the Special Commission created for the drafting of the Draft
Law on Distribution Contracts (Order of the Ministry of Justice of
