Filipe Romão is a lawyer in the Lisbon office of Uría
Menéndez. He joined the firm in 2001 after having practised in a
Portuguese law firm and a leading consultancy firm from 1996 until 2001.
He became a partner of the firm in January 2005.
Filipe focuses his practice on tax law, and specialises in the following
areas:
-
Mergers and acquisitions: he provides advice
on tax issues arising from acquisitions of companies, mergers, IPOs and
joint ventures.
-
Financial products and capital markets: he
advises on the design of financial products with different financial
institutions and investment banks in order to optimise the tax treatment
of those products. Filipe is also frequently asked to advise on the
taxation of new financial instruments such as warrants, certificates,
exchange traded funds, reverse convertibles and credit-linked notes,
assisting key market players in this field and collaborating with the
regulatory authorities in the drafting of the applicable legislation.
-
International tax planning: he provides
general advice regarding foreign investments in Portugal (taxation of
non-resident companies and individuals) as well as Portuguese
investments abroad.
-
Real estate transactions and project finance:
he advises on all tax issues in these areas, and in particular those
related to (i) the acquisition and transfer of real estate, (ii) the
development of real estate in general, and shopping centres in
particular, and (iii) project finance transactions.
-
Tax inspections and disputes: he represents
clients in proceedings, claims and appeals before the Portuguese Tax
Authorities and the Portuguese Courts.
Chambers Global 2004-2005 regarded Filipe as an up
