Ana Sá Couto is a counsel in the Lisbon office of Uría Menéndez. She joined the firm in July 2002 and became a counsel in January 2010.
Ana focuses her practice on securities, banking and finance, and corporate law.
She has participated in important transactions relating to listed companies and issuers of several types of securities, in particular, right issues, privatisations, takeover bids and squeeze outs, and the listing in regulated markets. Ana regularly advises on the issuance, offering and listing of different types of securities and structured products in Portugal, as well as on the incorporation and day-to-day legal issues of credit institutions and financial intermediaries.
Ana was actively involved in the incorporation of the first stock exchange governing body besides Euronext Lisbon. She was also Secretary of the MTS Portugal - Sociedade Gestora do Mercado Especial de Dívida Pública, SGMR, S.A..
She also regularly advises clients on collective investment schemes (mutual and real estate funds), securities markets, settlement and central securities depository systems, financial intermediary and regulatory issues concerning securities law.
Ana has participated in numerous financing and project finance transactions as well as in projects concerning the transformation of credit institutions, the establishment and closure of branches and representative offices of credit institutions in Portugal and abroad, providing all-round assistance on the incorporation and running of their business activities.
Ana also provides corporate law advice to clients on a wide range of transactions including M&A, spin-offs and joint ventures.
